IN-HOUSE LEGAL COUNSEL Auburn Hills, MI OBJECTIVE The In-house Legal Counsel is ultimately responsible for oversight and management pertaining to legal matters, contracts, mitigating risk and ensuring compliance.
This dynamic role supports all functional departments and works with executive and company leadership daily to mitigate risk, ensure compliance, and provide insight based on legal changes affecting the business.
This role will also coordinate engagement with outside legal counsel as required.
KEY ACCOUNTABILITIES Review, advise, and assist on processes regarding current terms & conditions, contracts, agreements, leases, transactional and compliance matters.
Assist with the drafting of claims, client notices, subcontractor notices, and any other legal or compliance correspondence.
Remain current with legal updates and counsel/advise employees/company on general commercial law topics, corporate governance, and regulatory issues (i.
e.
environmental).
Give legal advice with respect to proposed and existing legislation, employment law, and other legal developments affecting the company.
Review, negotiate, and execute a wide range of contracts, leases, and agreements.
Support litigation matters by working with outside counsel for effective and efficient resolution.
Develop and deliver educational, compliance, and preventative law programs to management and workforce.
Represent the company and present industry best practices at seminars/webinars, networking events, and other community/industry/construction association events.
Participate in the development, implementation, and enforcement of internal policies and standard procedures/processes for Legal Department and company as a whole.
CORE COMPETENCIES Juris Doctor degree from an accredited law school.
Licensure or eligibility for licensure in Michigan.
Minimum 3 years of general corporate/commercial law experience.
Preference for substantial experience with a large/sophisticated law firm and/or “in-house” experience with an international company.
Strong knowledge of Uniform Commercial Code (Article 2) and experience reviewing, negotiating and drafting wide variety of contracts (e.
g.
, sales, distribution and supply contracts).
Preference for experience with the construction industry, automotive industry, or manufacturing and knowledge of subcontractor, vendor, and supplier terms and conditions.
Knowledge of legal procedures and substantive areas of law.
High level of personal integrity.
High level of interpersonal skills, including strong written and oral communication skills.
High level of problem solving and analytical skills.
Self-confident, self-starting and a high level of organizational and negotiation skills.
Ability to evaluate legal and business risks and demonstrate superior legal judgment, initiative and resourcefulness in order to advise and counsel internal clients.
